1. Agreement to Terms

These Terms and Conditions ("Agreement") constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("Client"), and Virtex Labs ("Company", "we", "us", or "our"). By submitting a project inquiry and checking the consent box, you agree that you have read, understood, and are bound by all of these Terms and Conditions.

2. Scope of Work & Proposals

The submission of a project inquiry does not constitute a formal contract for development. Upon reviewing your inquiry, Virtex Labs will provide a detailed Statement of Work (SOW) or formal proposal. All specific deliverables, feature requirements, and technical specifications must be explicitly documented in the final SOW before any engagement begins.

3. Payment & Billing Architecture

Virtex Labs utilizes deliverable-based billing to ensure project momentum and quality. Specific payment terms will be outlined in your SOW, generally adhering to the following structural models:

  • Software & Application Development: Billed via a milestone model (e.g., 30% Project Initiation & Architecture, 30% Feature-Based Deliverables, 40% Final Deployment & UAT). Subsequent phases will not commence until the preceding milestone invoice is cleared.
  • Web Design & Marketing Sites: Billed via a hybrid structure requiring a 50% upfront commitment deposit and 50% prior to staging approval, followed by an agreed-upon annual maintenance retainer.
  • UI/UX & Brand Design: Billed via progression models (e.g., 40/40/20 or 50/50 splits) tied directly to creative reviews and final asset handoffs.
Late Payments: Invoices are strictly due upon receipt unless otherwise stated. Virtex Labs reserves the right to pause all design and development work, withhold final source files, or suspend active hosting if an invoice remains unpaid past its grace period.

4. Client Responsibilities & Project Delays

The successful execution of our services relies on timely collaboration. The Client agrees to:

  • Provide necessary brand assets, copywriting, API keys, and server access within agreed-upon timeframes.
  • Review deliverables and provide consolidated feedback within the "Acceptance Window" (typically 5 business days) defined in the SOW.
Project Abandonment: If the Client fails to communicate or provide necessary feedback for a period exceeding fourteen (14) consecutive days, the project will be placed on hold. Resuming the project may incur a remobilization fee. If the delay exceeds thirty (30) days, Virtex Labs reserves the right to terminate the project, retaining all previously paid funds for work rendered.

5. Revisions & Scope Creep

Each project phase includes a specific number of revision rounds as defined in your contract. Feedback provided outside of these dedicated rounds, or requests for features not documented in the original SOW, constitute "Scope Creep." Such requests will be evaluated and billed separately either at our standard hourly rate or as a fixed-price addendum.

6. Intellectual Property Rights

Virtex Labs retains all ownership and intellectual property rights to the source code, design files, and final deliverables during the development process. Full intellectual property rights and licenses are transferred to the Client only upon the complete clearing of all final invoices.

Virtex Labs retains a non-exclusive, perpetual right to utilize the completed project, including wireframes, code snippets, and visual assets, for portfolio display, marketing, and promotional purposes.

7. Confidentiality & Non-Disclosure

Both parties agree to hold in strict confidence any proprietary business information, trade secrets, algorithms, or client data shared during the inquiry and development process. This confidentiality clause remains in effect during and after the termination of the project.

8. Warranties & Limitation of Liability

Virtex Labs guarantees that the services provided will be performed to a professional standard. However, we do not warrant that software, applications, or websites will be entirely error-free or completely secure against third-party malicious attacks.

In no event shall Virtex Labs, its directors, employees, or contractors be liable to you or any third party for any direct, indirect, consequential, exemplary, incidental, special, or punitive damages, including lost profit or lost revenue, arising from your use of our services. Our total liability to you for any cause whatsoever will at all times be limited to the amount paid, if any, by you to us for the specific project in dispute.

9. Termination

Either party may terminate the working relationship with written notice if the other party breaches a material term of this Agreement and fails to cure the breach within seven (7) days. If the Client initiates termination without cause prior to project completion, Virtex Labs shall retain the initial deposit and issue a final invoice for any unbilled hours or milestones completed up to the date of cancellation.
